These Terms govern all use of the XE website, mobile applications, digital platform, and all services and trading activities carried on by Xklusivelyelite Ltd, including membership services, concierge, lifestyle management, dating & introductions, digital vault, goods trading, arts & crafts gallery, ambassador programme, and advisory facilitation.

1Introduction and Scope

These Terms and Conditions of Business (“Terms”) constitute a legally binding agreement between Xklusivelyelite Ltd, a company incorporated in England and Wales under Company Registration Number 16674919, with its registered office at XE House, 15 Ross Way, Northwood, Hertfordshire, HA6 3HU, United Kingdom (“XE”, “we”, “us” or “our”), and any individual, company or other entity that accesses, browses, registers with, subscribes to, or otherwise uses the XE website (www.xklusivelyelite.co.uk), mobile applications, digital platform, or any service or trading activity operated by XE (“you”, “your”, “User”, “Member” or “Seller” as appropriate).

By accessing or using the XE Platform or any XE service, you confirm that you have read, understood and agreed to be bound by these Terms, together with our Privacy Policy, Cookie Policy and any applicable service-specific or trading-specific terms. If you do not accept these Terms in full, you must not use the Platform or any XE service.

Important Notice

XE operates as a next-generation AI-powered luxury lifestyle ecosystem and marketplace. Its business encompasses: membership services; concierge and lifestyle management; elite dating and personal introductions; a personal digital information vault; online shopping and goods trading; an arts and crafts gallery; a vintage trading exchange; the XE Brand Store; the Globalcitipages magazine programme; a city-based ambassador network; events and experiential services; wellness and medical concierge; investment and advisory facilitation; and influencer and content partnerships. These Terms govern all such activities collectively.

2Definitions

PlatformThe XE website (www.xklusivelyelite.co.uk), mobile applications, member portal, XE Intelligence dashboard, and all associated digital infrastructure.
MemberA natural person or legal entity admitted to an XE membership tier (Associate, Executive or Patron).
VisitorA person browsing the Platform who is not a registered Member.
SellerA Member or third party who lists goods, artworks, collectables or other items for sale through the XE Online Shopping Mall, Elite Arts & Crafts Gallery, Blubay Vintage Trading Exchange or XE Brand Store.
BuyerA Member or third party who purchases goods through any XE marketplace or trading platform.
SubscriptionA paid recurring plan granting access to a specified membership tier and the associated services.
PartnerAn independent third-party supplier, vendor, service provider, luxury brand, institution or professional featured on or integrated with the Platform.
ServicesAll concierge, lifestyle, dating and introductions, vault, wellness, advisory facilitation, content, events, ambassador, magazine and any other service offered by XE.
Trading ActivitiesAll goods marketplace activities, including the XE Online Shopping Mall, Blubay Vintage Trading Exchange, Elite Arts & Crafts Gallery and XE Brand Store.
ContentText, images, audio, video, data, software, artworks and all other material made available on or through the Platform.
FeesSubscription fees, listing fees, transaction commissions, service charges, membership charges and any other sums payable to XE.
Applicable LawThe laws of England and Wales and any other mandatory laws applicable to a given transaction or Member by reason of their domicile, habitual residence or place of business.
UK GDPRThe UK General Data Protection Regulation (as retained in UK law by the European Union (Withdrawal) Act 2018) and the Data Protection Act 2018.
ConsumerA Member acting for purposes wholly or mainly outside their trade, business, craft or profession.

3Eligibility and Acceptance

  1. You must be at least 18 years of age and possess full legal capacity to enter into binding contracts under the laws of your jurisdiction.
  2. You warrant that all information submitted during registration, onboarding, identity verification and Know Your Customer (KYC) processes is accurate, current and complete. You must promptly update your details if they change.
  3. XE reserves the absolute right to accept, refuse, suspend or revoke any application or membership at its sole discretion, including where anti-money laundering (AML), sanctions, fraud, reputational or regulatory compliance concerns arise.
  4. Membership of the Elite Dating & Personal Introductions service requires enhanced four-tier identity verification comprising: (a) KYC and identity document verification; (b) professional and social screening; (c) referral-based ambassador approval; and (d) financial status verification. XE reserves the right to decline or revoke dating service access at any time.
  5. XE operates in accordance with the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (as amended) and all applicable sanctions legislation. Members and Sellers may be required to provide documentary evidence of identity, source of funds and beneficial ownership before accessing certain services or completing transactions.
  6. Sellers wishing to list goods, artworks or collectables through any XE marketplace must additionally satisfy XE's Seller verification and approval process, as set out in Section 6 below.

4Membership, Tiers and Subscriptions

XE operates an application-based tiered membership model. Access to services, features and pricing varies by tier.

  1. All memberships are by application and are subject to XE's approval process. Submission of an application does not guarantee admission.
  2. Current membership fees, inclusions, and renewal terms are published on the Platform at www.xklusivelyelite.co.uk/membership and form part of these Terms by reference. Fees are subject to change on thirty (30) days' prior written notice to current Members.
  3. Subscriptions renew automatically at the end of each billing period at the then-current rate unless cancelled in accordance with Section 8.
  4. Memberships are personal and non-transferable. Sharing of Member login credentials is strictly prohibited and may result in immediate termination without refund.
  5. XE may offer lifetime, family or corporate membership plans. The specific terms for such plans will be set out in a supplementary agreement at the time of purchase.
  6. XE reserves the right to modify the tier structure, inclusions and benefits at any time, subject to giving affected Members reasonable notice. Where a material change adversely affects a Member's current subscription, that Member may cancel their subscription without penalty within 30 days of notification.

5Description of Services

XE provides an integrated portfolio of digital and human-assisted luxury lifestyle services. Availability of each service varies by membership tier, jurisdiction and Partner capacity.

5.1 Lifestyle & Concierge

XE provides 24/7 personalised lifestyle management, including private travel curation, restaurant and event reservations, luxury goods sourcing, property search and relocation support, personal shopping and styling, chauffeur and private aviation arrangements, and bespoke day-to-day requests. Concierge requests are handled by dedicated XE lifestyle managers supported by the XE India Centre of Excellence (BPO) operating on a follow-the-sun basis.

5.2 Elite Dating & Personal Introductions

XE provides a curated, city-based matchmaking and personal introductions service for verified HNW and UHNW Members. The service operates through city-based Ambassadors and a GDPR-compliant platform incorporating AI compatibility analytics and human discretion. Members may attend XE-hosted private mixers, art soirées and wellness retreats as part of the service. All Members of this service agree that:

  • they are participating voluntarily and of their own accord;
  • they will treat all introductions, personal information shared by other Members and the identity of all participants as strictly confidential;
  • they will not screenshot, record, share or otherwise reproduce any communication or personal information obtained through the dating service;
  • XE does not guarantee compatibility, the success of any introduction or the formation of any relationship; and
  • any contact with other Members outside the XE platform following an introduction is conducted entirely at the Member's own risk.

5.3 Investment & Advisory Facilitation

Regulatory Notice: XE does not provide regulated financial advice, investment advice, tax advice or legal advice. XE is not authorised or regulated by the Financial Conduct Authority (FCA) for investment activity. Any introductions, opportunities or curated access to advisers, fund managers, real estate developers, private equity sources, family office professionals or alternative asset opportunities are facilitated by XE strictly as an introduction and referral service only. Members must take independent, qualified professional advice before making any investment decision. XE accepts no liability whatsoever for the outcome of any transaction or investment facilitated through the Platform.

XE facilitates introductions across the following categories: real estate opportunities; private equity and venture introductions; art and alternative asset advisory connections; and family office coordination. The contract for any investment or advisory engagement is formed solely between the Member and the relevant third-party professional or institution.

5.4 Wellness, Fitness & Medical Concierge

XE facilitates access to its vetted Partner network across wellness retreats, longevity and performance programmes, medical concierge and second-opinion services, executive coaching, mental health referrals, and bespoke spa and fitness services globally. All medical and clinical services are provided exclusively by qualified, independently registered practitioners. XE does not provide medical advice or medical treatment. Any clinical relationship is formed between the Member and the relevant practitioner. XE accepts no liability for the clinical outcomes of any medical service facilitated through the Platform.

5.5 Business Services & Elite Business Network

XE facilitates strategic partnership introductions, advisory board placement referrals, executive recruitment referrals and market-entry support for entrepreneurs, executives and corporates. The XE Elite Business Network Programme connects Members for the purpose of exploring business ventures, strategic alliances, mergers and acquisitions. All introductions made through this service are strictly for the purpose of initial connection only. XE is not a party to any business agreement reached as a result of an introduction and accepts no liability for the outcome of any such arrangement.

5.6 Events, Experiences & Experiential Holidays

XE curates and facilitates access to private member events, cultural and sporting hospitality, exclusive experiential travel, gala dinners, exotic adventure holidays, and elite spectator sporting events globally. Event bookings made through XE are subject to the terms of the relevant venue, organiser or Partner and to the cancellation provisions set out in Section 8. XE shall not be liable for events that are cancelled or materially altered by the venue, organiser or by reason of force majeure.

5.7 Personal Digital Information Vault

XE provides a GDPR-compliant encrypted digital document storage service (“Vault”) with biometric access control and audit logging. The Vault enables Members to store personal, legal, financial and other sensitive documents securely. Members acknowledge that:

  • it is their sole responsibility to maintain up-to-date, accurate copies of their Vault contents outside the Platform;
  • XE maintains backup and disaster recovery procedures but does not guarantee permanent preservation of Vault contents against all circumstances;
  • access to the Vault may be suspended during scheduled maintenance or following a confirmed security incident; and
  • on termination of membership, XE will provide a reasonable opportunity for the Member to export Vault contents prior to deletion, subject to any applicable legal retention obligations.

5.8 Globalcitipages Magazine Programme & Advertising

XE publishes the Globalcitipages digital and print magazine programme, comprising city-based editions curated by XE Ambassadors covering luxury lifestyle, events, wellness and elite community news. Advertising space in Globalcitipages is available to luxury brands and partner businesses subject to XE's editorial approval. Advertisers agree that:

  • all advertising content must comply with the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code) and all applicable advertising laws;
  • XE reserves the right to reject, suspend or remove any advertisement that it considers misleading, inappropriate, or inconsistent with the XE brand;
  • publication of advertising is not guaranteed until confirmed in writing by XE; and
  • XE's liability to Advertisers is limited to a refund of the advertising fee paid for the edition in question.

5.9 Influencer & Content Partnerships

XE operates a co-created content and revenue-sharing programme for influencers, podcasters and premium content creators. Partners in this programme must comply with the UK Advertising Standards Authority (ASA) disclosure requirements for sponsored and affiliate content, including clear labelling of all paid partnerships. XE reserves the right to remove content that does not comply with these requirements.

5.10 City-Based Ambassador Programme

XE appoints city-based Ambassadors globally to represent the XE brand, onboard Members, coordinate local events, drive Globalcitipages advertising sales and manage local partner relationships. Ambassadors operate pursuant to a separate Ambassador Agreement with XE. For the avoidance of doubt, Ambassadors are not employees of XE; they are independent contractors. XE accepts no liability for the acts or omissions of any Ambassador outside the scope of the Ambassador Agreement.

5.11 XE Intelligence Platform

XE Intelligence is a beta digital intelligence dashboard providing Members with curated financial market data, luxury lifestyle insights, global news and AI-generated content feeds. Information provided through XE Intelligence is for general interest purposes only and does not constitute financial, investment, legal or professional advice of any kind. XE does not warrant the accuracy, completeness or timeliness of any information displayed on XE Intelligence.

6Online Trading Activities

XE operates a portfolio of online trading platforms accessible to Members, Sellers and Buyers. These platforms operate as online marketplaces; XE is the marketplace operator and facilitator, not the seller of goods unless expressly stated otherwise.

6.1 Overview of XE Trading Platforms

6.2 Seller Registration and Approval

  1. Sellers must register and obtain XE's written approval before listing any item on any XE trading platform. XE may request identity documents, business registration details, proof of title or provenance, and any other documentation it considers appropriate.
  2. Sellers warrant that they are the legal owner of, or are otherwise duly authorised to sell, any item listed, and that the item is accurately described, genuine, and free from any third-party lien, charge or encumbrance.
  3. Sellers of artworks, collectables, vintage items or luxury branded goods must provide all available provenance documentation, certificates of authenticity, and valuation reports.
  4. XE reserves the right to reject, suspend or remove any listing at its discretion, including where it suspects the item is counterfeit, misrepresented, or where the Seller's compliance with these Terms is in doubt.

6.3 Listing and Commission Terms

  1. Sellers may be subject to a listing fee, payable in advance, as published on the relevant Platform page.
  2. Upon completion of a sale, XE deducts a transaction commission from the sale proceeds before remitting the balance to the Seller. The applicable commission rate for each platform is published on the Platform and is incorporated into these Terms by reference.
  3. For the XE Online Shopping Mall and luxury goods categories, XE operates on a commission model without holding inventory; the sale contract is formed between the Seller and the Buyer.
  4. For the XE Brand Store (from Year 3 onwards), XE acts as principal seller; the sale contract is formed between XE and the Buyer.

6.4 Buyers' Terms for Online Purchases

  1. All purchases through the XE Online Shopping Mall, Blubay Vintage Trading Exchange and Elite Arts & Crafts Gallery are made from the relevant Seller, not from XE. XE facilitates the transaction but is not a party to the sale contract save where it acts as principal through the XE Brand Store.
  2. Buyers are responsible for satisfying themselves as to the description, condition, provenance and suitability of any item before purchase.
  3. XE uses reasonable endeavours to verify Seller credentials and item authenticity but does not guarantee that any item is genuine, accurately described or fit for any particular purpose.
  4. Nothing in these Terms affects a Consumer Buyer's statutory rights under the Consumer Rights Act 2015 or other Applicable Law. Where XE acts as principal seller through the XE Brand Store, XE's obligations as seller arise under the Consumer Rights Act 2015 and the Sale of Goods Act 1979 (as applicable).
  5. Where XE acts as marketplace operator only, Buyers must direct all complaints and warranty claims to the relevant Seller in the first instance. XE will use reasonable endeavours to assist in dispute resolution but is not obliged to provide refunds on behalf of third-party Sellers.

6.5 Prohibited Items

The following items may not be listed on any XE trading platform under any circumstances:

  • counterfeit goods or goods that infringe any intellectual property right;
  • goods that are stolen, misappropriated or otherwise unlawfully obtained;
  • goods subject to international trade sanctions or export restrictions;
  • endangered species products or goods prohibited under CITES;
  • illegal weapons, drugs, substances or any item prohibited by Applicable Law;
  • items that XE considers to be inconsistent with the XE brand, values or the expectations of its elite membership community.

6.6 Pricing, Payment and Fulfilment

  1. All prices on XE trading platforms are displayed in the currency indicated and, unless stated otherwise, are exclusive of applicable taxes, customs duties and delivery charges, which will be itemised at checkout.
  2. Payment is processed via XE's secure payment gateway. XE does not store full card details on its own servers.
  3. Delivery, shipping, insurance and customs compliance are the responsibility of the Seller unless XE expressly assumes this role in writing.
  4. Risk in goods passes to the Buyer upon delivery unless otherwise agreed between the Seller and Buyer.
  5. XE reserves the right to place a hold on sale proceeds pending satisfaction of KYC, AML and fraud checks.

6.7 Returns, Refunds and Disputes (Trading Activities)

  1. Statutory rights: Consumer Buyers purchasing from XE as principal seller (XE Brand Store) have a fourteen (14) day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and may also exercise statutory rights under the Consumer Rights Act 2015.
  2. Third-party marketplace sales: The returns and refunds policy for goods sold by third-party Sellers is governed by the Seller's published returns policy, subject to the Consumer Buyer's statutory rights. XE will publish each Seller's returns policy on the relevant listing page.
  3. Arts & Crafts Gallery: Sales of bespoke, commissioned or one-of-a-kind artworks are generally non-refundable, save for statutory rights that cannot be excluded by law.
  4. Dispute process: In the event of a dispute between a Buyer and a Seller, the Buyer must notify XE Customer Services at enquiries@xklusivelyelite.com within fourteen (14) days of receiving the goods. XE will attempt to mediate the dispute in good faith. XE's liability as marketplace operator is limited to returning the transaction commission collected.

7Fees, Payments and Taxes

  1. All Fees are displayed on the Platform in the currency indicated and are, unless expressly stated otherwise, exclusive of VAT and any other applicable taxes and duties, which will be added where required by Applicable Law.
  2. By subscribing or making a purchase, Members authorise XE and its appointed payment processors to charge the nominated payment method for all applicable Fees, including automatic renewals.
  3. Transaction commissions charged by XE on marketplace sales are deducted from Seller proceeds and are non-refundable save as required by law.
  4. Late or failed payments may result in immediate suspension of access to the Platform and Services. XE reserves the right to charge statutory interest on overdue commercial debts pursuant to the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.
  5. Members and Sellers are solely responsible for all taxes, duties and charges arising from their use of the Platform, their membership and any trading activities conducted through the Platform in their jurisdictions of residence, business or transaction.
  6. Where XE acts as deemed supplier for VAT purposes in certain jurisdictions, it will account for VAT accordingly and provide appropriate documentation.

8Cancellation, Refunds and Consumer Rights

  1. Statutory cooling-off period: Consumer Members in the United Kingdom have a fourteen (14) day right to cancel a Subscription, commencing on the day after the Subscription is purchased, pursuant to the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Where a Member requests that Services commence during the cooling-off period, XE may charge a pro-rata amount for Services actually delivered prior to cancellation.
  2. Subscription cancellation: Members may cancel recurring Subscriptions at any time via the member portal at www.xklusivelyelite.co.uk/membership or by written notice to enquiries@xklusivelyelite.com. Cancellation takes effect at the end of the current billing period; no pro-rata refund is payable for the unused portion of the period save as required by law.
  3. Non-refundable services: Bespoke, event-based, time-critical or fully delivered Services are non-refundable once supplied with the Member's consent, subject to the Consumer Rights Act 2015 where XE acts as supplier.
  4. Event and experience bookings: Tickets and bookings for third-party events, sporting occasions and experiential travel are subject to the cancellation policy of the relevant organiser or venue. XE will endeavour to secure refunds or credits on a Member's behalf but cannot guarantee any recovery from third-party organisers.
  5. Lifetime memberships: Lifetime memberships are non-refundable save where XE is in material breach of these Terms and fails to remedy such breach within thirty (30) days of written notice.
  6. For trading activity refunds: see Section 6.7.

9Third-Party Partners and Providers

  1. XE's service and trading portfolio includes offerings delivered by independent Partners across private aviation, travel, hospitality, security, wellness and medical, retail, arts, education, real estate, wealth management and other luxury verticals globally.
  2. XE conducts reasonable due diligence on its Partners but does not warrant, guarantee or accept responsibility for the acts, omissions, quality, safety, legality or performance of any Partner or third-party Seller.
  3. The contract for any Partner-delivered product or service is formed between the Member and the relevant Partner. XE's role is limited to that of facilitator and introducer.
  4. Disputes between a Member and a Partner must be raised with the Partner in the first instance. XE may, at its discretion, provide good-faith mediation support but is not obliged to resolve, arbitrate or remedy such disputes.
  5. Member information is shared with Partners only to the extent necessary to deliver a requested Service or facilitate a transaction, and always in accordance with XE's Privacy Policy and Applicable Law.

10User Conduct and Platform Use

All Members, Sellers, Buyers, Advertisers and Visitors agree that they will not:

  • use the Platform for any unlawful, fraudulent, abusive or harassing purpose;
  • impersonate any person or misrepresent identity, financial status, wealth, professional standing or affiliation;
  • upload, post or transmit content that is defamatory, obscene, threatening, discriminatory, or infringes any intellectual property right;
  • list, offer for sale or trade any Prohibited Item as set out in Section 6;
  • circumvent, disable or interfere with any security, verification, payment or authentication feature of the Platform;
  • use automated systems (including scrapers, bots and crawlers) to access, copy or extract data from the Platform without XE's prior written consent;
  • solicit, contract with or transact with any XE Partner, Seller, Ambassador or Member outside the Platform with the intent to avoid Fees or circumvent XE's commercial arrangements;
  • reproduce, redistribute or commercially exploit any XE Content or Platform data without XE's prior written consent; or
  • engage in any conduct that is incompatible with the standards of discretion, respect and exclusivity expected of XE Members.

Conduct involving minors in any inappropriate manner through the Platform is strictly prohibited and will result in immediate permanent termination of membership and referral to the relevant authorities.

XE reserves the right to monitor Platform activity to the extent permitted by Applicable Law and to suspend or terminate any account found in breach of these Terms.

11Intellectual Property

  1. All intellectual property rights in and to the Platform, including the XE brand and logos, proprietary AI engines, AR/VR assets, blockchain and smart contract architecture, NFT membership designs, databases, editorial content, Globalcitipages, designs, software and know-how, are owned by or licensed to XE and are protected under UK and international law.
  2. Subject to continued compliance with these Terms, XE grants Members a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for personal and lawful purposes consistent with the Member's tier.
  3. Members and Sellers retain ownership of their own user-generated content (“User Content”) and the artworks or goods they list. By submitting User Content or listing items on the Platform, Sellers and Members grant XE a worldwide, royalty-free licence to host, store, display, reproduce and distribute such content for the purpose of operating and promoting the Platform and XE’s services.
  4. Where XE issues NFT-based membership tokens or digital collectables, the purchase of such a token grants the holder a licence to the associated digital content only and does not confer any equity, profit share, governance right, financial instrument or investment in XE or any entity.
  5. No Member, Seller or User acquires any right, title or interest in XE's intellectual property save as expressly granted herein.

12Privacy, Data Protection and Digital Vault

  1. XE is the data controller for all personal data processed in connection with the Platform and Services. Processing is governed by XE's Privacy Policy, UK GDPR and the Data Protection Act 2018.
  2. XE operates a hybrid infrastructure with its UK headquarters and an India-based Centre of Excellence in GIFT City. Where personal data is transferred outside the United Kingdom, XE relies upon appropriate safeguards, including UK adequacy regulations, Standard Contractual Clauses and the International Data Transfer Addendum (IDTA).
  3. Members have the rights of access, rectification, erasure, restriction of processing, data portability and the right to object under UK GDPR, and the right to lodge a complaint with the Information Commissioner's Office (ICO).
  4. Sensitive personal data stored in the Personal Digital Information Vault is subject to enhanced technical and organisational measures including AES-256 encryption at rest and in transit, biometric access controls and comprehensive audit logging.
  5. Personal data collected through the Elite Dating & Personal Introductions service is processed with heightened care. Member dating profiles, introduction records and communications are never shared with other Members without the relevant Member's express consent.

13Confidentiality

Each party agrees to keep in strict confidence all non-public information disclosed by the other party in connection with the Services or trading activities, including Member identity, introduction records, dating profiles, Partner pricing, Seller terms, transaction details, business intelligence and all proprietary information. This obligation survives termination of the relationship for a period of five (5) years. The confidentiality obligation does not apply to information that is: (a) in the public domain through no breach of this obligation; (b) lawfully obtained from an independent third party; (c) independently developed without reference to confidential information; or (d) required to be disclosed by applicable law, court order or regulatory authority.

14Disclaimers and Warranties

  1. The Platform and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by Applicable Law, XE disclaims all warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free availability.
  2. XE does not provide regulated investment advice, financial advice, legal advice or medical advice. All such content on the Platform is for general information purposes only. Members must seek independent qualified advice before acting upon any such information.
  3. XE does not guarantee the authenticity, condition, provenance or value of any item listed on its trading platforms by third-party Sellers, save to the extent expressly stated in a written Seller approval confirmation.
  4. XE does not guarantee the suitability, character, financial standing or intentions of any person introduced through the Elite Dating & Personal Introductions service or any other introduction service.
  5. Information on XE Intelligence is provided for general interest only and is not warranted as accurate, complete, current or suitable for any purpose.
  6. Market and financial data displayed on the Platform may be subject to delay and should not be relied upon for trading or investment decisions.

15Limitation of Liability

  1. Nothing in these Terms limits or excludes XE's liability for: (a) death or personal injury caused by XE's negligence; (b) fraud or fraudulent misrepresentation by XE; or (c) any other liability which cannot be limited or excluded under Applicable Law, including under the Consumer Rights Act 2015.
  2. Subject to clause 15.1, XE's total aggregate liability to any Member, Seller, Buyer or User arising out of or in connection with these Terms (whether in contract, tort, breach of statutory duty or otherwise) shall not exceed the greater of: (a) the total Fees paid by that party to XE in the twelve (12) months preceding the event giving rise to the claim; or (b) £1,000.
  3. For claims arising from marketplace trading activities where XE acts as operator only (not as principal seller), XE's liability is limited to a refund of the transaction commission collected on the relevant sale.
  4. XE shall not be liable for any indirect, special, incidental, consequential or pure economic loss, including loss of profit, revenue, contracts, business, goodwill, opportunity, anticipated savings or data, even if such loss was foreseeable.
  5. XE shall not be liable for any loss or damage caused by Partners, third-party Sellers, Ambassadors (acting outside the scope of their Ambassador Agreement), force majeure events, cyberattacks on third-party infrastructure, or events otherwise beyond XE's reasonable control.

16Indemnity

You agree to indemnify, defend and hold harmless XE and its directors, officers, employees, consultants, Ambassadors and Partners from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (i) your breach of these Terms; (ii) your misuse of the Platform, Services or any trading platform; (iii) your User Content or listings; (iv) any item you list or sell through an XE trading platform, including any claim of counterfeit, misdescription or defective goods; (v) your infringement of any third-party right; or (vi) your violation of any Applicable Law.

17Suspension and Termination

  1. XE may suspend or permanently terminate any Member, Seller or User's access to the Platform and all Services, with or without notice, where the party: (a) breaches these Terms or any supplementary agreement; (b) fails to pay Fees when due; (c) engages in fraudulent, unlawful, abusive or harmful conduct; (d) lists prohibited items or misrepresents goods; (e) poses an AML, sanctions, reputational or security risk; or (f) becomes the subject of insolvency proceedings.
  2. Members may terminate membership by cancelling their Subscription via the member portal or by written notice to enquiries@xklusivelyelite.com.
  3. On termination: (a) all licences granted cease immediately; (b) all outstanding Fees remain payable; (c) all open Seller listings are removed; (d) the Member will be given a reasonable opportunity to export Vault contents before deletion; (e) XE will retain data only as required by Applicable Law; and (f) clauses which by their nature survive termination (including confidentiality, intellectual property, indemnity, liability limitation, dispute resolution and governing law) shall continue in full force and effect.

18Force Majeure

XE shall not be in breach of these Terms, nor liable for any failure or delay in performance, resulting from events beyond its reasonable control, including but not limited to: acts of God, war, armed conflict, terrorism, civil unrest, pandemics, epidemics, governmental action, sanctions, industrial disputes, telecommunications or internet outages, cyberattack, failure of third-party payment or cloud infrastructure, or customs or import restrictions. XE will use reasonable endeavours to mitigate the effect of any such event and will notify affected Members where practicable.

19Complaints and Dispute Resolution

  1. Complaints about XE's own services should be directed in writing to the XE Customer Services team at enquiries@xklusivelyelite.com or by post to XE House, 15 Ross Way, Northwood, Hertfordshire, HA6 3HU, United Kingdom. XE aims to acknowledge all complaints within five (5) Business Days and to provide a substantive response within thirty (30) calendar days.
  2. The parties shall attempt in good faith to resolve any dispute arising from these Terms through direct negotiation before commencing formal proceedings.
  3. If a dispute is not resolved within sixty (60) days of the initial written complaint, the parties may by mutual agreement refer the dispute to mediation under the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure, the costs of which shall be shared equally unless the mediator directs otherwise.
  4. Consumer Members and Consumer Buyers in the UK retain all statutory rights under the Consumer Rights Act 2015 and may also utilise alternative dispute resolution (ADR) services recognised under the Alternative Dispute Resolution for Consumer Disputes (Competent Authorities and Information) Regulations 2015.
  5. For disputes concerning marketplace trading transactions, XE's internal dispute-resolution process must be completed before formal proceedings are commenced, save for urgent interim relief.

20Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales. Subject to the complaint and dispute resolution procedure above, the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales, provided that XE may bring proceedings against a Member, Seller or User in any jurisdiction where that party is resident or holds assets. Consumer Members who are resident in Scotland or Northern Ireland retain the right to bring proceedings in their home jurisdiction pursuant to mandatory consumer protection provisions.

21General Provisions

1. Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, any applicable Seller agreement, Ambassador Agreement, Advertiser agreement and service-specific terms published on the Platform, constitute the entire agreement between the parties and supersede all prior representations, understandings and arrangements.
2. Amendments: XE may amend these Terms at any time. Material changes will be notified to Members by email and via the Platform at least thirty (30) days before they take effect. Continued use of the Platform or any Service after the effective date of an amendment constitutes acceptance. Where an amendment materially and adversely affects a Consumer Member's rights, that Member may terminate their Subscription without penalty within thirty (30) days of notification.
3. Assignment: Members, Sellers and Buyers may not assign or transfer any rights or obligations under these Terms without XE's prior written consent. XE may assign, novate or transfer its rights and obligations to any group company, successor entity or acquirer, provided that the assignee assumes all obligations herein.
4. Severability: If any provision of these Terms is found to be invalid, illegal or unenforceable under Applicable Law, that provision will be modified to the minimum extent necessary to make it valid, or severed if modification is not possible, and the remainder of these Terms will continue in full force and effect.
5. No waiver: A failure or delay by XE in exercising any right under these Terms does not constitute a waiver of that right, and no single or partial exercise of a right precludes any further exercise of that right.
6. Third-party rights: A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
7. Notices: Formal notices to XE must be sent to XE House, 15 Ross Way, Northwood, Hertfordshire, HA6 3HU, or by email to enquiries@xklusivelyelite.com. Notices to Members will be sent to the contact details registered on the Member's account. Email notices are deemed received on the next Business Day after transmission.
8. Language: These Terms are in British English. Any translation is for convenience only; the English version prevails in the event of any conflict or ambiguity.
9. Status of XE: Nothing in these Terms creates any relationship of partnership, joint venture, agency, franchise or employment between XE and any Member, Seller, Buyer, Ambassador or Partner.
